9．支付條件：
（1） 如以信用證支付：買方接到本合同第11條規(guī)定的賣方裝船通知后在交貨期15一20天前，由＿＿中國銀行開立以賣方為受益人，金額為裝貨總值的不可撤消的信用證，憑開戶銀行開具的匯票和本合同第10條中所規(guī)定的裝船單據(jù)付款。

10.．付款單據(jù)：
（1）為了支付貨款，賣方應(yīng)向支付銀行程交下列單據(jù)：
①全套清潔無疵。注明“運費到付”、空白抬頭、空白背書和通知目的港＿＿已”裝船”的海運提單。
②發(fā)票5份：注明合同號和嘜頭（一個以上嘜頭應(yīng)分別開發(fā)票）
③裝箱單5份：注明發(fā)貨重量及相應(yīng)發(fā)票的編號和日期。
④由制造廠出具的品質(zhì)與數(shù)量證明書兩份，如第14條第（1）項中所規(guī)定。
⑤通知買方已裝船的電報抄送一份。
（2）裝船同時，賣方應(yīng)將上述單據(jù)副本各一份（本條5項除外）寄送目的港。
11．裝船條件：
（1）賣方應(yīng)于本合同規(guī)定的裝船期前40天，以電報通知買方如下內(nèi)容：合同號、品名、數(shù)量、價值、件數(shù)、毛重、尺碼、港口備妥待運日期，以便買方洽訂艙位。
（2）中國＿＿公司（電報掛號：___,將作為買方的船代理洽談艙位。
（3）買方.應(yīng)于船只預(yù)計抵港日期前10天，將品名、預(yù)計裝貨日期、合同號通知賣方，以便賣方安排裝船。賣方應(yīng)于船代理保持密切聯(lián)系。當(dāng)必須換船或船提前或推遲到港時，買方或其他代理應(yīng)及時通知賣方。如船只不能在買方通知的船期后30天內(nèi)到達(dá)港口，買方應(yīng)負(fù)擔(dān)自第31天起所帶來的倉租費和保險費。
（4）如船只按時抵達(dá)裝船港口后，而賣方不能按時備貨裝船，由此產(chǎn)生的空倉費和滯期費由賣方負(fù)擔(dān)。
（5）貨物越過船舷和脫鉤前的全部費用和風(fēng)險由賣方負(fù)擔(dān)；貨物越過船舷和脫鉤后的全部費用和風(fēng)險由賣方承擔(dān)。
12．裝船通知：賣方應(yīng)于貨物裝船完畢后，立即以電報通知買方合同號、貨物名稱、數(shù)量、毛重、發(fā)票價值船名和起航日期。若由于賣方未及時以電報通知賣方，而使買方不能及時辦理保險時，由此產(chǎn)生以切損失，均應(yīng)由賣方承擔(dān)。
13．質(zhì)量保證：賣方保證貨物采用最好的和未用過的全新材料，第一流制造工藝，其成品質(zhì)量、規(guī)格和性能與本合同規(guī)定相符。貨物的保證期為貨物抵目的港后＿＿月。
14. 檢驗和索賠:
(1)發(fā)貨前,制造人應(yīng)對貨物的質(zhì)量\規(guī)格\性能和數(shù)量/重量作精密全面的檢驗,并出具證明書 應(yīng)附有制造廠試驗項目和結(jié)果的報告.。
（2）貨到目的港后，買方將申請中國商品檢驗（以下簡稱局）對貨物
的品質(zhì)、規(guī)格和數(shù)量/重量進(jìn)行初檢并出具檢驗報告。如該局發(fā)現(xiàn)規(guī)格或數(shù)量或兩者有出入，除保險公司或輪船公司的責(zé)任外，買方有權(quán)在貨物到達(dá)目的港后＿日內(nèi)拒收該物或向賣方提出索賠。
（3）如貨物的質(zhì)量和規(guī)格與合同規(guī)定不符，買方將申請商檢局進(jìn)行檢驗，并憑檢驗報告有權(quán)向賣方索賠（包括接貨）所有費用（檢驗、退貨和換貨的運費、保險費、倉儲費和裝卸費等）均應(yīng)由賣方承擔(dān)。
（4）若買方提出索賠后30天內(nèi)賣方未予答復(fù),則認(rèn)為賣方已接受上述索賠。
15.人力不可抗拒：凡是制造或裝船運輸過程中，因人力不可抗拒的事故，致使賣方推遲交貨或不能交貨時，賣方不負(fù)責(zé)任。
16. 遲交貨罰款：除本合同第15條規(guī)定的人力不可抗拒原因外,如賣方不能按合同規(guī)定的時間交貨,買方應(yīng)同意在賣方支付罰款的條件下延期交。罰款可由支付銀行在議付貨款時扣除，但罰款不得超過遲交貨物總價的5%.。罰款率按每7天收0.5%,不足7天時以7天計算。如賣方延期交貨超過合同規(guī)定10周時，買方有權(quán)撤消合同此時，賣方仍應(yīng)不遲地按上述規(guī)定向買方支付罰款。
17．仲裁：凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議，雙方應(yīng)通過友好協(xié)商解決；如果協(xié)商不能解決，當(dāng)提交北京中國國際貿(mào)易促進(jìn)委員會對外經(jīng)濟貿(mào)易仲裁委員會，根據(jù)該仲裁程序暫行規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力仲裁費用由敗訴方承擔(dān)。
18．補充條款：
本合同正本共兩份。采用中、英文 （略）書就，兩種文字具有同等效力。簽字后即生效。雙方各執(zhí)一份為憑。

進(jìn)行初步檢驗，并出具檢驗證明書，如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格、數(shù)量與合同不符，除保險公司或船運公司應(yīng)負(fù)責(zé)的以外，買方在貨到90天內(nèi)有權(quán)換貨或索賠，一切費用（如商檢費、相關(guān)的運費、保險費etc）由賣方承擔(dān)。

12. 仲裁：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭執(zhí)，應(yīng)通過友好協(xié)商解決。如不能解決，則應(yīng)申請進(jìn)行仲裁。仲裁將在中國貿(mào)易促進(jìn)委員會仲裁委員會進(jìn)行。其做出的裁決是最終的，買賣雙方均應(yīng)受其約束，任何一方不得向法院或其他機關(guān)申請變更。仲裁費用由敗訴方負(fù)擔(dān)。
Arbitration: All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation, in case no settlement can be reached through negotiations, the case under dispute shall be submitted for arbitration to the China Economic and Trade Arbitration Commission Beijing in accordance with the provisional rules of procedures promulgated by the said arbitration commission. The award of the arbitration shall be final and binding upon both parties for revising the decision. The arbitration fee shall be borne by the losing part.
13. 不可抗力：由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時，責(zé)任不在賣方，但賣方應(yīng)立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機關(guān)出具的事故證明用空郵寄交賣方為證。
Force Majeure: The seller shall not be held responsible for any delay in delivery or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit. However, the seller shall advise the buyer immediately of such occurrence and within 14 days thereafter, the seller shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authorities of the place where the accident occurs as evidence thereof. 14. 附加條款：本合同一式二份買賣雙方各執(zhí)一份。
