　　┌————┬————┬————┬————┬————┬————┬————┐ 　　│材料名稱│交付時間│交付地點(diǎn)│交付數(shù)量│包裝要求│檢驗方法│運(yùn)輸方法│ 　　│ │ │ │ │ │ │和運(yùn)費(fèi)承│ 　　│ │ │ │ │ │ │擔(dān) │ 　　├————┼————┼————┼————┼————┼————┼————┤ 　　│ │ │ │ │ │ │ │ 　　├————┼————┼————┼————┼————┼————┼————┤ 　　│ │ │ │ │ │ │ │ 　　└————┴————┴————┴————┴————┴————┴————┘ 　　第六條 加工費(fèi)結(jié)算辦法與時間＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿。 　　第七條 乙方應(yīng)于＿＿＿＿年＿＿月＿＿日前向甲方交付定金＿＿＿＿元；乙方應(yīng)于＿＿＿＿年＿＿月＿＿日前向甲方交付預(yù)付款＿＿＿＿元。乙方不履行合同的，無權(quán)請求返還定金。甲方不履行合同的，除承擔(dān)違約責(zé)任外，必須如數(shù)返還預(yù)付款。乙方不履行合同的，可以把預(yù)付款抵作違約金和賠償金，有余款可以請求返還。 　　第八條 甲方的違約責(zé)任 　　1．甲方如未按合同規(guī)定的質(zhì)量交付定作物，乙方同意利用的，應(yīng)當(dāng)按質(zhì)論價；不同意利用的，甲方應(yīng)當(dāng)負(fù)責(zé)修理或調(diào)換，并承擔(dān)逾期交付的責(zé)任；經(jīng)過修整或調(diào)整后，仍不符合合同規(guī)定的有權(quán)拒收，由此造成的損失由甲方賠償。 　　2．甲方交付定作物的數(shù)量少于合同規(guī)定的，乙方仍然需要的，甲方應(yīng)當(dāng)照數(shù)補(bǔ)齊，補(bǔ)交部分按逾期交付處理；乙方不再需要的，有權(quán)解除合同，因此造成的損失由甲方賠償。 　　3．因甲方包裝不善造成定作物毀損的，由甲方賠償損失。 　　4．甲方逾期交付定作物，應(yīng)當(dāng)向乙方償付違約金，每逾期一天，按逾期交付部分的價款總額的＿＿＿＿‰償付違約金。 　　5．甲方不能交付定作物的，應(yīng)向乙方償付不能交付定作物部分價款總值＿＿＿％的違約金。 　　6．由甲方負(fù)責(zé)送貨的，如運(yùn)輸中造成定作物損壞，甲方應(yīng)當(dāng)負(fù)責(zé)修理，達(dá)到合同規(guī)定的質(zhì)量要求，否則乙方有權(quán)拒收。 　　第九條 乙方的違約責(zé)任 　　1．乙方如中途變更定作物的數(shù)量、規(guī)格、質(zhì)量或設(shè)計等，應(yīng)當(dāng)賠償甲方因此造成的損失。 　　2．乙方如中途廢止合同，應(yīng)償付甲方未履行部分定作物價款總值＿＿＿％的違約金。 　　3．乙方如未按合同規(guī)定的時間向甲方提供圖紙和其它技術(shù)資料，除交付定作物的日期得以順延外，乙方應(yīng)當(dāng)償付甲方因停工待料的損失。 　　4．乙方如超過合同規(guī)定日期付款，應(yīng)當(dāng)比照中國人民銀行有關(guān)延期付款的規(guī)定，向甲方償付違約金。 　　5．乙方如無故拒絕接收定作物，應(yīng)當(dāng)賠償甲方因此造成的損失。 　　6．乙方如變更交付定作物地點(diǎn)，應(yīng)承擔(dān)因此而多支出的費(fèi)用。 　　第十條 不可抗力 　　在合同規(guī)定的履行期內(nèi)，由于不可抗力致使定作物或原材料毀損、滅失的，甲方在經(jīng)有關(guān)部門證明后，可免予承擔(dān)違約責(zé)任。但甲方應(yīng)當(dāng)采取積極措施，盡量減少損失，如不可抗力的損失是在合同規(guī)定的履行期以外發(fā)生的，不得免除甲方責(zé)任；在乙方遲延接受或無故拒收期間發(fā)生的，乙方應(yīng)當(dāng)承擔(dān)責(zé)任，并賠償甲方因此造成的損失。 　　第十一條 本合同發(fā)生糾紛時，雙方協(xié)商解決；協(xié)商不成時，可以向人民法院起訴。 　　本合同于＿＿＿＿年＿＿月＿＿日生效，合同履行完畢即失效。 　　本合同一式＿＿＿份，甲乙雙方各執(zhí)一份，公證處、物價局、建設(shè)銀行各存一份。 　　承攬方：＿＿＿＿＿ 定作方：＿＿＿＿＿＿ 　　地址：＿＿＿＿＿＿ 地址：＿＿＿＿＿＿＿ 　　法定代表人：＿＿＿ 法定代表人：＿＿＿＿ 　　簽約日期：＿＿＿＿年＿＿月＿＿日
合同一定要簽的。一般不會出糾紛，但是萬一出了糾紛很麻煩。關(guān)系再好合同這一套是絕對不能刪的。
