1、合同由買方或者賣方都可以發(fā)起,關(guān)鍵是合同里面的條款得到了雙方的認可，不是你發(fā)給他他一定得簽字或他發(fā)給你你一定得簽。有時候要往來好機會修改合同直到雙方都覺得沒問題了。 2、信用證并不需要到你們開證行去辦理什么手續(xù)的，國外銀行開證后就會由國內(nèi)的銀行通知你們，具體是哪一家，銀行自己會通知你們的，不是你們說了算的，是有國外開證行指定的，到時你們支付銀行通知費就可以拿到信用證。通知費不同銀行也有不同的，一般也就200人民幣左右吧 你們拿到信用證后就按信用證要求交單就可以了，看一下議付行是不是 any bank in china，那就隨便交給哪個銀行都可以議付，這樣子一般就給自己的開戶行咯，進賬也方便一點。
在中國的任何銀行都可議付的不可撤銷，保兌信用證。匯票：信用證為提單日期后90天。根據(jù)UCP600由一流銀行開出信用證。信用證應該在2013.05.25之前開出，通過指定銀行（銀行名稱：中國銀行，湖北分行。地址：中國 ，湖北省，武漢市 黃石路65號。Swift碼：bkchcnbj600. 賬號：04072808091014）。中國境外的所有銀行費用由買方負擔。開證銀行需經(jīng)賣方同意。
III 付款條件 A. 開始生產(chǎn)前預付50%訂金, 余款裝運前付清 -或由一個有效的可轉(zhuǎn)讓的信用證(須符合COCONA INC的信用證指令)支付 B. 所有電匯必須包含COCONA INC的形式發(fā)票號碼 IV 賬目管理者 A. BRAND 會在BRAND 和剪裁縫紉工廠各指定一個聯(lián)絡人. 這兩個聯(lián)絡人將對圍繞COCONA訂單的任何事項進行溝通和解決. B. BRAND將在附屬的采購辦公室或者各采購代理中指定一個聯(lián)絡人。 C. BRAND有責任將本文件的副本轉(zhuǎn)交給他們在其指定的剪裁縫紉工廠的聯(lián)絡人。 V.交貨 a. 剪裁縫紉廠需要在收到COCONA INC或 COCONA ASIA LTD的商業(yè)發(fā)票后48小時內(nèi)付款以確保按期交貨。 b. COCONA INC在沒有得到付款確認的情況下將不會放貨。付款確認可以包括一個有效的電匯確認/匯款號碼和受益人的銀行名稱 c.所有發(fā)運都必須接受第三方單據(jù)。 因為不明白這份合同中當事各方關(guān)系，所以只能這樣翻譯了。
If the goods' quality/quantity/weight are discrepant with the contract or invoice:Except for which belong to the insurance company and/or the shipping company,the buyer have the responsibility to notify and require the seller to repair from the date of goods unloaded at the port of destination within XX days. Regarding to the repaired products by the buyer shall be re-checked according to the original acceptance standard again, after another examination, the unqualified product inspected once more can be reject by the buyer or handled by the seller, and it will deduct unqualified product cost price from the processing fee which buyer pay for seller.
